These Terms govern your use of Resto360, a restaurant management platform available on the web and as mobile apps (the “Service”). The Service is provided by Spinoza Hospitality, a company registered in Egypt (“we”, “us”).
By creating an account, starting a trial or using the Service, you agree to these Terms. If you accept them on behalf of a business, you confirm that you are authorised to bind that business, and “you” means that business.
1. Accounts and users
- An account is opened by a business (a restaurant, café or group, the “Customer”). The Customer invites its staff and managers as users and assigns their roles and branches.
- The Customer is responsible for who it invites, the roles and permissions it grants, and everything done under its account.
- Keep sign-in details confidential. Tell us at once at support@getresto360.com if you suspect an account has been compromised.
- The Service is for businesses and their staff. It is not intended for anyone under 18.
2. Free trial, subscription and billing
- Free trial. New subscriptions start with a 14-day free trial. A payment card is collected at checkout, but nothing is charged during the trial.
- Automatic renewal. When the trial ends, the subscription renews automatically and the card is charged the plan price for the billing period you chose (one month or one year), then again at the start of every period, until you cancel.
- Prices. Plans are priced in Egyptian pounds (EGP) per branch per month. Head office branches are not charged.
Annual billing: paying yearly costs 10 months' price for 12 months of service. Prices include any applicable VAT. The price shown at checkout is the price you are charged.Plan Price Includes Essentials EGP 1,490 / branch / month Daily operations, tasks, maintenance, HR basics, attendance, delivery, revenue control Professional EGP 2,490 / branch / month Everything in Essentials, plus inventory, recipes and food cost, purchasing, payroll, sales reports Group EGP 3,290 / branch / month Everything in Professional, plus finance and general ledger, ETA e-invoicing, multi-brand, franchise, priority support. Minimum 5 branches - SMS. Each active branch includes 100 free SMS per month; unused free SMS do not carry over. Extra SMS are sold in packs that never expire: 1,000 SMS for EGP 600, 5,000 SMS for EGP 2,750, 20,000 SMS for EGP 10,000. One SMS is up to 160 English characters or 70 Arabic characters; longer messages use more than one. Pack purchases are one-off payments and are not refunded once used.
- Cancelling. Cancel at any time by emailing support@getresto360.com from the account owner's address. If you cancel during the trial, you are not charged. If you cancel later, the subscription stops at the end of the period already paid, and you keep access until then.
- Refunds. Payments already made are not refunded for partial months, except where Egyptian law requires a refund.
- Price changes. We will give at least 30 days' notice by email before a price change takes effect. You may cancel before then.
- Failed payments. If a renewal payment fails, access may be limited until payment is made.
- Payments are processed by Stripe. We never see or store full card numbers.
3. Your data
- The Customer owns all business data it enters into or connects to the Service, including sales, inventory, staff, payroll, attendance, documents and guest data (“Customer Data”).
- We use Customer Data only to provide, secure and support the Service, as described in our Privacy Policy. We do not sell it and do not use it for advertising.
- For staff and guest personal data, the Customer decides what is collected and why. The Customer is responsible for having a lawful basis for that processing, including under Egypt's Personal Data Protection Law (No. 151 of 2020), and for informing its staff.
- Each Customer's data is kept separate from every other Customer's, and access inside an account follows the roles and branches the Customer assigns.
4. Acceptable use
You must not:
- try to access another Customer's data, or data your role is not allowed to see;
- probe, scan or test the Service's security without our written permission, or bypass its access controls or rate limits;
- upload unlawful content, malware, or personal data you have no right to process;
- resell, sublicense or copy the Service, or reverse engineer it except where the law permits;
- use the Service to send unsolicited messages. SMS and notification features are for messages to your own staff and guests who expect them.
We may suspend access that breaches these rules or puts the Service or other Customers at risk. Where we can, we will tell you first.
5. Integrations and third-party services
The Service can connect to systems you choose, such as point-of-sale systems, attendance devices, delivery platforms, review sites and the Egyptian Tax Authority's e-invoice system. Those systems are run by their own providers under their own terms. We are not responsible for their availability or for the accuracy of the data they send. Figures imported from them are only as accurate as the source.
6. AI-assisted features
Some features use AI to read documents and photos, for example supplier invoices, cheques, card-settlement slips and delivery reports, or to translate and summarise text. The content you submit is sent to our AI provider to produce the result. AI output can be wrong. Review the extracted figures before you save or rely on them, especially for accounting, tax and payroll.
7. Availability and changes
- We work to keep the Service available and secure, but we do not guarantee that it will be uninterrupted or error-free. Planned maintenance will be kept short where possible.
- We improve the Service continuously and may change or remove features. If a change materially reduces a paid feature you rely on, you may cancel and we will refund any prepaid amount for the period after the change.
- The Service is a management tool. It does not replace professional accounting, tax, legal or HR advice, and you remain responsible for your filings and decisions.
8. Liability
- To the extent the law allows, we are not liable for indirect or consequential losses, such as lost profits, lost revenue or lost data that could have been restored from your own records.
- Our total liability for any claim related to the Service is limited to the amount you paid us in the 12 months before the claim arose.
- Nothing in these Terms limits liability that cannot be limited under Egyptian law, including liability for fraud or gross negligence.
9. Ending the agreement
- You may stop using the Service and cancel at any time (see section 2).
- We may end the agreement with 30 days' notice, or immediately for a serious breach of these Terms.
- After the subscription ends, you can ask us to export your Customer Data within 30 days. After that period we delete it, except records we must keep by law.
10. Governing law
These Terms are governed by the laws of the Arab Republic of Egypt. Disputes will be settled by the competent courts of Cairo, unless both parties agree to another forum.
11. Changes to these Terms
We may update these Terms. Material changes will be notified by email or in the app at least 30 days before they take effect. If you keep using the Service after that, the new Terms apply.
